Simpool Terms of Use

Welcome to Simpool, a software-as-a-service platform designed to facilitate pool service management between pool service companies (“Service Providers”), their employees and technicians (“Technicians”), and pool owners or clients (“Customers”). These Terms of Use (“Terms”) govern your access to and use of the Simpool platform, mobile app, website, and related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

  • “Simpool,” “we,” “our,” or “us” refers to the provider of the Simpool SaaS platform.
  • “Service Provider” refers to a pool service business licensed to use the Simpool platform.
  • “Technician” refers to an employee, contractor, or agent authorized to use the mobile app.
  • “Customer” refers to a pool owner or client who receives pool services through the platform.
  • “User,” “you,” or “your” refers to any individual or entity using the Services.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old,
  • Have the legal authority to enter into these Terms, and
  • If using on behalf of a business, have authorization to bind that entity.

Simpool may suspend or terminate access for any User who violates these Terms.

3. Description of Services

For Service Providers:

  • Business account creation and subscription licensing
  • Employee/technician management
  • Dispatching and route management
  • Customer billing and service records

For Technicians:

  • Mobile app access to daily routes
  • Tools for documenting pool cleaning and maintenance
  • Ability to upload photos, notes, water chemistry data, and service statuses

For Customers:

  • Viewing service history and completed visit reports
  • Communication with their Service Provider
  • Billing, payment processing, and account management

Simpool is not a pool service company and does not employ technicians or provide pool cleaning services.

4. Account Registration

Users must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of login credentials
  • Ensuring only authorized individuals access your account
  • All activity conducted under your account

Simpool is not liable for unauthorized access resulting from your failure to secure your account.

5. Service Provider Responsibilities

Service Providers acknowledge and agree that:

  • They are solely responsible for their employees, contractors, and Technicians using the platform.
  • They maintain full responsibility for the quality of services delivered to Customers.
  • They must comply with all applicable laws, employment regulations, licensing requirements, and safety protocols.

Simpool does not supervise or control Technicians and is not responsible for actions or omissions of Service Providers or their personnel.

6. Customer Responsibilities

Customers agree to:

  • Provide accurate pool and property information
  • Ensure safe access for Technicians
  • Pay all fees, invoices, and charges incurred through the platform
  • Use the Services only for lawful purposes

Customers acknowledge that Simpool is not responsible for the physical pool services performed by Service Providers or Technicians.

7. Payments & Billing

Payment processing for Customer invoices is facilitated through third-party payment processors. By using the Services, Users agree to:

  • Pay all applicable charges
  • Allow Service Providers to bill through Simpool
  • Comply with payment processor terms and policies

Simpool is not responsible for payment disputes between Customers and Service Providers.

8. User Content

User-generated content includes service notes, photos, pool data, messages, documentation, and other materials submitted through the platform.

By submitting User Content, you grant Simpool a non-exclusive, royalty-free license to host, store, transmit, and display the content and use it to provide and improve the Services.

You represent that you have the necessary rights to upload such content and that it does not violate any laws or third-party rights.

9. Data Privacy

Simpool processes personal and service-related data as described in its Privacy Policy, which is incorporated into these Terms. By using the Services, you consent to such data processing.

10. Prohibited Conduct

Users may not:

  • Misuse, copy, reverse engineer, or attempt to access the platform’s source code
  • Interfere with the operation of the Services
  • Use the Services for fraudulent or unlawful purposes
  • Upload harmful, offensive, or infringing content
  • Circumvent security features

Violations may result in immediate account termination.

11. Subscription & Licensing (Service Providers)

Service Providers obtain access through a paid subscription license. Terms include:

  • Recurring billing unless canceled
  • Restrictions on seat/user counts per license
  • Simpool’s right to modify pricing with notice

Failure to pay may result in suspension or termination of service access.

12. Service Availability & Updates

Simpool strives for reliable service but does not guarantee uninterrupted operation, error-free functionality, or complete accuracy of data or service logs. We may update or modify the platform at any time.

13. Third-Party Services

The platform may integrate with third-party payment processors, mapping tools, analytics providers, or communication tools. Simpool is not responsible for availability of third-party services, errors, breaches, or failures caused by such providers. Your use of third-party tools is subject to their terms.

14. Disclaimer of Warranties

Simpool is provided “as is” and “as available” without warranties of any kind, including:

  • Fitness for a particular purpose
  • Accuracy or completeness
  • Reliability of service records
  • Timeliness or availability

Simpool does not guarantee the performance of Service Providers or Technicians.

15. Limitation of Liability

To the fullest extent permitted by law, Simpool is not liable for:

  • Damages arising from services performed by Service Providers or Technicians
  • Loss of data, revenue, or profits
  • Service interruptions
  • Unauthorized access to User accounts
  • Indirect, incidental, special, or consequential damages

Our total liability shall not exceed the amount paid to Simpool in the 12 months preceding the claim.

16. Indemnification

Users agree to indemnify, defend, and hold harmless Simpool from any claims, damages, losses, or expenses arising from:

  • Your use of the Services
  • Violations of these Terms
  • Actions or omissions of Technicians or Service Providers
  • Disputes between Customers and Service Providers

17. Termination

Simpool may suspend or terminate access at its discretion, including for:

  • Breach of these Terms
  • Non-payment
  • Fraudulent or harmful behavior
  • Legal or regulatory requirements

Upon termination, all rights granted to you cease immediately.

18. Changes to Terms

Simpool may modify these Terms at any time. Updated Terms will be posted on the platform with a revised “Last Updated” date. Continued use after changes constitutes acceptance.

19. Governing Law

These Terms are governed by the laws of the state in which Simpool is headquartered, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts of that jurisdiction.
